一人公司是指公司的股份或出资全部归属于单一股东的公司,它与普通公司的最大区别是股东的单一性。一人公司因其股东单一的特殊性而与传统公司法律制度之间存在着的尖锐的矛盾冲突,如果仍然用传统公司法律制度来规范一人公司,必然不足以防范一人公司可能给社会带来的一系列特殊风险。
