| 商事法律关系主体——商人的界定和法律确认是建立商事秩序的主体性基础。现代商合伙具有明显区别于民事合伙以及商个人、商法人的本质差异性，但有关认识却依然含混，影响到市场经济秩序的有效建立与完善，确实有待厘清。基于现代商合伙的理论基础，通过对我国立法特别是新《合伙企业法》的针对性分析、比较、评价，可有效揭示其法律蕴涵，并为法律实践提供准确的法律判断。 |

| Commercial legal relation body the definition of businessmen and approval of the laws are subjectivity basis to estabilish commercial order. Modern commercial partnership obviously has essential differences from civil partnership, commercial individual and commercial corporation. However, the cognition of partnership has been frequently made at a loss, which affect the establishment and perfection of market order. Based on the general legal concept of commercial partnership ,this paper tries to reveal the internal legal quality of modern commercial partnership ,mainly in combination of the new 《Partnership Enterprise Code》,so that one more definite judgment on commercial partnership can be theoretically made and applied to legal practice. |
