| 异议股份收买请求权制度源于美国法,是其普通法上的一致同意原则被制定法上的多数决原则所取代的利益衡平产物,其通过赋予少数股东以公平价格退出公司的权利,对保护少数股东权益有着不可替代的作用。对异议股份收买请求权的排他性规则、市场例外条款、转让性以及债权人利益保护等争议问题进行探讨,以期对我国异议股份收买请求权制度的相关制度构建与立法完善有所裨益。 |
