| 代理商是广泛盛行于市场的一种极为重要的独立商辅助人即中间商的商人形式,但对于代理商的法律认识却始终含混不清,也导致了实践活动中不应有的混乱.其实,(狭义)代理商在概念、特征、类型等方面蕴涵着明显区别于行纪商和居间商的法律特质,与其他制度相比具有诸多优势并因此发挥着独特效用.对于代理商的法律解析与定位,有助于理论上和实践中的有效判别及准确适用.而基于《深圳经济特区商事条例》特有的立法价值,实有必要以之为主要参照而对代理商作出有针对性的法理解析. |
