| 法定代表人制度是一项具有中国特色的法人代表权制度,是国有企业产权制度改革中提倡的所有权与经营权相分离原则的产物。法定代表人制度具有它自身的优点,但随着市场经济的发展,代表权被滥用的现象大量出现,突显出这一制度自身的不足与弊端。为了维护法人及其相对人的利益,维护交易安全,使法人在新的经济形势下获得更大的发展,对法定代表人制度进行重新构建在当下就显得至关重要了。 |
