| 经营者股票期权 (ESO)的理论基础主要是人力资本产权论与代理理论。股权激励能否达到预期的效果 ,除了股票期权设计的科学性以外 ,还要受到制度环境的影响。为了保证我国股票期权的实施 ,必须创造良好的制度环境 :健全公司法人治理结构 ,建立规范的股票市场 ,完善经理人市场 ,出台相应的经济法规。 |
