摘要:

从企业合约思想的角度出发,运用新制度经济学产权理论,详细分析了企业合约参与要素的产权特征,这些特征正是公司治理问题的根源;在经济发展史中,公司治理问题是在现代发达市场经济条件下才成为人们关注的焦点,这并不能说明公司治理是新问题,它只是问题的新的形式而已,是企业合约结构上的变化。
